Riyadh – Mubasher: Saudi Advanced Industries Company (SAIC) will hold an Ordinary General Assembly meeting on 29 June 2026 to address a comprehensive agenda covering the financial performance for the 2025 fiscal year and several critical updates to its corporate governance framework, according to a bourse filing.
A central component of the meeting involves the formal review and discussion of the Board of Directors’ report and the audited financial statements for the 2025 fiscal year.
Shareholders will also be asked to vote on the external auditor’s report for 2025 and consider the discharge of board members from liability for their management during the 2025 fiscal year.
Additionally, the board has proposed the disbursement of SAR 1.77 million as a bonus to board members for the 2025 fiscal year, a motion that requires shareholder ratification.
Beyond financial reviews, the agenda features several items aimed at refining the company’s internal policies and regulatory compliance. Shareholders will vote on proposed amendments to the Remuneration Policy for the Board of Directors, Board Committees, and Executive Management.
Other proposed changes include updates to the standards and procedures for board membership, as well as the formal charters for both the Audit Committee and the Nomination and Remuneration Committee.
The board is also introducing a Competition Controls and Standards Policy for shareholder approval.
Regarding future financial oversight, the assembly will vote on the selection of an external auditor from a list of candidates recommended by the Audit Committee. The appointed firm will be responsible for reviewing and auditing the financial statements for the second (Q2), third (Q3), and annual periods of 2026, as well as Q1-27.
In Q1-26, the listed company SAIC generated net profits attributable to the owners worth SAR 7.43 million.
Eligibility to attend and vote is restricted to shareholders registered in the company’s records at the Securities Depository Center (Edaa) by the close of the trading session immediately preceding the assembly. To facilitate participation, SAIC has announced that electronic voting will be available through the Tadawulaty service starting from 1:00 AM on 25 June 2026.
